These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you," "your," "User," or "Customer") and Roku Trade Bot PTE. LTD., a company incorporated under the laws of Singapore, with its principal place of business in Singapore ("Roku Trade Bot," "Company," "we," "us," or "our").
By accessing, using, or interacting with our website located at rokutrade.com (the "Website"), our proprietary trading bot technology accessible through Telegram or other third-party platforms, our copy-trading systems, smart contracts, application programming interfaces (APIs), or any other associated tools, applications, products, or services we may provide now or in the future (collectively, the "Services”), you acknowledge that you have read these Terms, fully understood them, and agree to be legally bound by them.
If you do not agree to these Terms, or if any portion of these Terms is unacceptable to you, you must immediately discontinue access and refrain from using the Services.
The sections below replace and expand Section 4 of these Terms. This Article is detailed because your proper operation of the Services — and your understanding of the material risks involved — is fundamental to Roku Trade Bot’s ability to offer non-custodial trading tools. You must read and comply with every obligation below. Capitalized terms used but not defined in this Article have the meanings given elsewhere in these Terms.
You acknowledge that the Services enable you to interact with decentralized infrastructure, third-party protocols, and other Users. You are solely responsible for every action taken under your account, every transaction initiated by you (or by any person or software acting with your authority), and for complying with all obligations in this Article. Failure to comply with these responsibilities may result in loss of funds, suspension or termination of access, and civil or criminal liability.
4.2.1 You are solely responsible for securing and maintaining the confidentiality of all credentials and secrets that provide access to your wallets, accounts, or to the Services (including but not limited to private keys, seed phrases, passphrases, hardware wallet seed backups, API keys, secret keys, access tokens, and recovery phrases) (collectively, “Authentication Credentials”).
4.2.2 You MUST NOT share your private keys, seed phrases, or Authentication Credentials with any other person, except where you expressly and knowingly delegate authority in accordance with Section 4.6 and these Terms. If you choose to share or store credentials with a third-party service or provider, you do so at your sole risk.
4.2.3 Best practices we strongly recommend (but do not guarantee) include: storing seed phrases offline in physically secure locations; using hardware wallets or multi-signature solutions for significant holdings; using unique, strong passwords for email and accounts tied to your Trading Wallet; enabling two-factor authentication (2FA) where available; using dedicated devices for signing high-value transactions; and employing cold storage for long-term holdings. These are recommendations only — YOU REMAIN SOLELY LIABLE FOR THE SECURITY OF YOUR ASSETS.
4.2.4 If you provide Roku Trade Bot with any credentials or keys (for example, to permit delegated execution or for convenience features), you acknowledge and agree that: (a) you do so voluntarily and understand the risks; (b) Roku Trade Bot may store or transmit such credentials in encrypted form on third-party infrastructure; (c) storing or transmitting credentials creates a material risk of unauthorized access, and Roku Trade Bot MAKES NO GUARANTEE AS TO THE SECURITY OR RECOVERY OF ANY CREDENTIALS; and (d) you remain solely responsible for any loss arising from the provision, misuse, compromise, or mishandling of those credentials.
4.3.1 You must keep the email address and contact information associated with your account current and secure. You are responsible for any actions taken on your account by anyone who gains access to your contact methods.
4.3.2 You must protect access to any device, browser, extension, wallet connector, or application you use to access the Services (including applying security updates and avoiding use of devices that may be compromised). 4.3.3 You must not reuse passwords across high-risk accounts (for example your primary email, exchange accounts, and device unlock codes). Periodically rotate credentials and API keys. Immediately revoke and replace credentials if you suspect compromise.
4.3.4 You must not permit others to access the Services using your account credentials, except as expressly authorized in writing or through approved delegation mechanisms. If multiple persons need access, you should implement appropriate organizational controls (e.g., separate accounts, role-based permissions, multisig arrangements).
4.4.1 If you generate API keys for use with the Services, you must follow the principle of least privilege — assign only the permissions necessary for the specific purpose, limit IP ranges when possible, set withdrawal limits where supported, and rotate or revoke keys when no longer needed.
4.4.2 If you connect third-party wallets, browser extensions, or SDKs to the Services, you do so subject to the third party’s terms. You are responsible for understanding and managing the permissions you grant via wallet approvals, browser connectors (e.g., web3 providers), and mobile SDKs.
4.4.3 Where token approvals (allowances) are required, you must understand the implications of granting “infinite” or broad allowances. You should limit allowances to the minimum necessary, and you should promptly revoke allowances you no longer require. Roku Trade Bot is not responsible for losses arising from token allowance mechanics or prior approvals you granted to any smart contract or third party.
4.5.1 Before confirming any on-chain action, you must verify all transaction details including destination addresses, chain identifiers, contract addresses, amounts, gas/fee estimates, slippage tolerances, and any deadlines. Transactions on public blockchains are generally irreversible.
4.5.2 You should use test transactions (small amounts) when interacting with new smart contracts or counterparties.
4.5.3 You should understand slippage settings, price impact, minimum received, and deadline parameters — misconfigured settings can result in large losses.
4.5.4 You must not sign transactions that you cannot verify or that originate from untrusted sources. If a third party (including another User) asks you to sign a transaction that appears suspicious, you must decline and report it.
4.5.5 You are responsible for all network fees (e.g., gas) associated with any transactions you authorize. You acknowledge that network conditions may cause higher than expected fees, failed transactions, or delayed execution.
4.6.1 If you elect to delegate authority to Roku Trade Bot or to another User (for example, enabling delegated execution or copy-trading), you remain the ultimate decision-maker and are solely responsible for authorizing that delegation.
4.6.2 You must conduct adequate due diligence on any Trader, strategy, or signal you choose to follow or copy. This includes, without limitation, understanding the Trader’s historical performance, risk management practices, leverage usage, typical holding periods, and the smart contracts or counterparties they use. Roku Trade Bot does not vet or guarantee Traders or strategies.
4.6.3 You must establish internal risk limits (e.g., position size caps, stop losses, diversification rules) and must monitor open trades and exposures; you cannot rely on Roku Trade Bot to act as a portfolio manager.
4.6.4 You remain responsible for any costs, fees, or losses that arise from following or copying another User or strategy. You must not allocate funds to copy-trading or delegated trading without being prepared for total loss of allocated funds.
4.7.1 Automated does not mean set-and-forget. You must actively monitor the Services, the performance of any bots or automated strategies you employ, open orders, and wallet balances. Automated strategies can and do fail due to market events, chain forks, or smart contract issues.
4.7.2 You must reconcile on-chain transaction records, wallet balances, and your internal records regularly, and promptly investigate and report any discrepancies.
4.7.3 You should configure alerts and notifications where available and maintain an internal incident response plan proportionate to the value of funds you control.
4.8.1 You must not use the Services for any unlawful purpose, including but not limited to money laundering, terrorist financing, evasion of sanctions, tax evasion, or distribution of illicit material.
4.8.2 You must not be a Sanctioned Person or transact for the benefit of a Sanctioned Person. You must comply with all applicable export controls, sanctions laws, AML/CTF rules, and KYC obligations imposed by applicable jurisdictions.
4.8.3 You are solely responsible for ensuring your use of the Services is lawful in your jurisdiction. If your local law requires licensing or registration to use services like ours, you must obtain it before using the Services.
4.9.1 You must promptly notify Roku Trade Bot if you reasonably suspect any unauthorized access to your account or wallet, any misuse of your Authentication Credentials, or any fraudulent activity involving your use of the Services.
4.9.2 You must cooperate with Roku Trade Bot and law enforcement in good faith in any investigation, including by providing information or documentation reasonably requested (subject to applicable law). You consent to Roku Trade Bot sharing information about you or your transactions with regulators, law enforcement, or other third parties if legally required or reasonably necessary to investigate fraud or unlawful activity.
4.9.3 You agree that Roku Trade Bot may retain logs, records, and copies of communications and transactions for compliance and investigation purposes, and you will not obstruct or interfere with Roku Trade Bot’s lawful collection of such information.
4.10.1 If you suspect compromise of any Authentication Credentials or wallet, you must immediately: (a) revoke affected keys/approvals where possible; (b) move remaining assets to a secure wallet if feasible; (c) change passwords and rotate API keys; and (d) notify Roku Trade Bot’s support team at the earliest opportunity with full details of the incident.
4.10.2 You must follow Roku Trade Bot’s instructions in responding to a security incident and must provide reasonable assistance in any forensic or remedial actions. Roku Trade Bot may, in its discretion, suspend your access while investigating.
4.10.3 You acknowledge that in many cases blockchain transactions cannot be reversed, and that rapid action after a compromise does not guarantee recovery of assets.
4.11.1 You must not engage in any activity that abuses, interferes with, or degrades the Services or the experience of other Users, including but not limited to: spam, automated scraping, distributed denial-of-service attacks, or attempts to overwhelm system resources.
4.11.2 You must not attempt to manipulate markets, perform front-running, spoofing, wash trading, insider trading, or otherwise corrupt the integrity of trading markets or order books.
4.11.3 You must not reverse-engineer, decompile, disassemble, or attempt to extract the source code of any Service component, smart contract, or proprietary algorithm, except to the extent permitted by law.
4.11.4 You must not resell, sublicense, rent, or otherwise make available the Services to third parties without Roku Trade Bot’s express prior written consent.
4.11.5 You must not provide any access to the Services to Restricted Persons or use the Services to benefit Restricted Jurisdictions.
4.12.1 If you discover a vulnerability, security flaw, or exploitable bug affecting the Services, you must refrain from exploiting the issue and must promptly report it to Roku Trade Bot using the designated security channel (e.g., security@rokutrade.com) and follow any published responsible disclosure policy.
4.12.2 You must provide reasonable information, reproduction steps, and cooperation to allow Roku Trade Bot to investigate and remediate any reported vulnerability.
4.12.3 Roku Trade Bot may operate a bug bounty program at its discretion. Any rewards, if offered, are subject to Roku Trade Bot’s program rules and are not a user entitlement.
4.13.1 You must ensure that the personal information you provide to Roku Trade Bot (contact information, tax residency, identification documents if requested) is accurate and complete. You must promptly update Roku Trade Bot of any changes.
4.13.2 You are responsible for maintaining adequate records of your transactions for accounting, tax, and compliance purposes, including on-chain receipts, wallets, and internal accounting records. Roku Trade Bot may retain logs but is not your recordkeeping service.
4.13.3 You consent to Roku Trade Bot’s collection and processing of transaction and usage data for security, compliance, and service improvement purposes as described in our Privacy Policy.
4.14.1 You are responsible for all fees and costs incurred in connection with your use of the Services, including Roku Trade Bot’s fees (if any), third-party fees, network transaction fees, and any taxes.
4.14.2 You must accurately report and pay any taxes arising from gains, income, or other taxable events resulting from your use of the Services. Roku Trade Bot does not provide tax advice.
4.15.1 If you use the Services on behalf of an organization, you represent that you have authority to bind the organization and that the organization will comply with these Terms. You are responsible for the acts and omissions of individuals who use the Service under your organizational account.
4.16.1 You acknowledge that Roku Trade Bot has no obligation to retrieve, recover, or refund any tokens or assets lost due to your failure to follow these responsibilities, to misuse of your credentials, or to transactions you authorize. Any assistance provided by Roku Trade Bot in exceptional circumstances is discretionary and does not create any ongoing duty or obligation.
4.17.1 Roku Trade Bot may, in its sole discretion and without liability, suspend, restrict, or terminate your access to the Services, freeze the display of your account in the UI, block specific wallet addresses from interacting with the Services, or take other measures if you violate these responsibilities or if Roku Trade Bot reasonably suspects unlawful or abusive conduct.
4.17.2 You acknowledge that these remedies are in addition to any civil or criminal remedies available to Roku Trade Bot or to regulators and authorities.
4.18.1 You agree to defend, indemnify, and hold harmless Roku Trade Bot and the Company Parties from and against any and all losses, liabilities, claims, damages, and expenses (including reasonable attorneys’ fees and costs) arising from or related to your failure to comply with the responsibilities in this Article or your negligent, reckless, or intentional misuse of the Services.
4.19.1 You must promptly notify Roku Trade Bot if your contact information changes or if you need to report a security incident. Notices should be sent to the contact methods provided on the Website.
4.20.1 BY USING THE SERVICES YOU REPRESENT, WARRANT AND AGREE THAT: (A) YOU HAVE READ, UNDERSTOOD, AND ACCEPT THESE RESPONSIBILITIES; (B) YOU WILL TAKE ALL REASONABLE MEASURES TO PROTECT YOUR ASSETS AND CREDENTIALS; (C) YOU WILL COMPLY WITH APPLICABLE LAWS AND THE TERMS OF THIS AGREEMENT; AND (D) YOU ARE RESPONSIBLE FOR ALL CONSEQUENCES ARISING FROM YOUR USE OF OR FAILURE TO USE REASONABLE SECURITY PRACTICES.
4.21.1 The duties, obligations, and liabilities set forth in this Article 4 shall survive the termination or expiration of these Terms to the extent reasonably necessary to give effect to the parties’ rights and obligations.
